`Simple. A clause which states that any shares owned by an individual or organisation above a specified percentage (I'd say 25%, but it can be a matter for discussion) cannot be used for voting purposes. This would need to be agreed by the (existing) shareholders, of course.`
Rab, I presume you know that would require a change in the Articles of Association of the Company. At present each share - ordinary or preference - each counts as one vote, for example John Doe has 12 ordinary and 12 preference shares, giving him 24 votes. As you say agreement would be required by existing shareholders to alter quite a complex set up. Not at all `simple`

I'm not trying to noise anybody up, but this has been a bone of contention for as long as I can remember. The club has taken legal advice on more than 1 occasion regarding this and has never taken it further.
As money is currently a major issue for ARFC, it might be an idea for all those who are desperate to invest in the club to get together. They should, in the first instance determine how much could be raised from a share issue, and then if there is a good response, use some of their money to obtain up to date independent legal advice as to how to go about it, including the very important issue of 'dead' shares, which amount to close to 50% of the original 54000 or so.
Current shareholders should be included in this process to hopefully get them on board as partners and not as adversaries.

Again, that's a bit harsh on Willis! He was one of Darren's Swiss army knife players. Played everywhere except in goals. Tbf we didn't need him in goals then, he might get a game now, but I digress. He would walk into the Rovers team now and be player of the match every week.

All of Darren/Jim Ward and Brian Kerr's squad would comfortably cope with the opposition we face. A history lesson- take a look at the run of our league results in 1985/86 - we were garbage until Tommy Gemmill came in and his experience turned us around. Lessons from history ?

I don't post often but feel I should comment on the above. Despite all the good work carried out by Paul Martin and our promotion to the First Division in my humble opinion the strain on our fragile finances began with the decision to have full time football under John McVeigh and to start a Youth Development Scheme at Cliftonhill. Both these decisions had a seroius impact on our finances at the time and ultimately led some Directors to put their hands in their pockets substantially. Full time football :- players report at 10.00am and depart 12.30pm for the day; manager on a five figure sum + a car; at least on player on £250.00 + bonus + appearance. Youth Development:- Umpteen players released by other Clubs as not good enough; wages paid out several weeks before grant was paid out by SFA; very few players came through into first team. Both decisions above led to a very serious strain on our finances. It would be very easy to castigate the Directors at this time but again in my opinion Shareholders are equally culpable when a financial solution presented itself, namely the sale of the ground and the purchase of the Excelsior Stadium. Andrew Dick was unfairly castigated for this but the suggestion speaks for itself. Cliftonhill could have been sold for a sufficient sum to allow the Club to purchase the Excelsior, have sufficient funds ring fenced to ensure their survival for many years, also ensuring sufficient funds for ground maintenance, receive rental from Aidrieonians on match days and funds from five a side pitches. In my opinion it was a no brainer considering the maintenance costs at Cliftonhill. Make no mistake about it, irrespective of our survival this season, unless serious money is spent on ground improvements I would doubt if we will still be there in 5 years.

Andrew Dick wanted to rent 'Excelsior', not buy it. I still have all the Advertiser reports about it. £2000 a week to rent it was the figure published. He got us a 'great deal' (quote) to rent it from the anonymous owners of the Airdrie ground.

Fortunately for him he was playing against 11 of them on Saturday.
